Terms of Service

1. Acceptance of Terms

By accessing or using the SleepDx platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. SleepDx is a division of Florida Lung & Sleep Associates.

2. Description of Services

SleepDx provides a home sleep testing platform that includes:

• Cloud-based practice management software
• Device tracking and logistics management
• Integration with AI-powered sleep study scoring (EnsoData)
• Board-certified physician interpretation services
• Automated patient communication
• Device fulfillment services (via Impilo Health)

3. Eligibility

Our Services are available only to licensed healthcare practices and their authorized personnel. By using our Services, you represent that you are a licensed healthcare provider or authorized representative of a healthcare practice, and have the authority to bind your organization to these Terms.

4. Account Registration

To use our Services, you must create an account and provide accurate information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring all users from your organization comply with these Terms

5. Fees and Payment

By using our Services, you agree to pay all applicable fees as follows:

• Per-Study Fees: $99 for in-office studies, $129 for shipped studies
• Device Purchases: $199 per CheckMe O2 Max device
• Payment Terms: Charges are billed monthly to your card on file

All fees are non-refundable except as required by law or as expressly stated in these Terms.

6. Healthcare Provider Responsibilities

As a healthcare provider using our Services, you are responsible for:

• Determining the clinical appropriateness of home sleep testing for each patient
• Obtaining informed consent from patients
• Ensuring proper patient identification and data accuracy
• Reviewing and acting upon diagnostic results
• Maintaining appropriate medical records
• Complying with all applicable laws and regulations

7. Limitations of Service

Our Services are intended to support, not replace, clinical judgment. You acknowledge that:

• Diagnostic interpretations are provided by independent board-certified physicians
• You retain full responsibility for clinical decisions and patient care
• Home sleep testing has limitations compared to in-lab polysomnography
• Technical failures may occasionally occur and may require repeat testing

8. Intellectual Property

All content, features, and functionality of the SleepDx platform are owned by SleepDx and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLEEPDX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless SleepDx, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

Either party may terminate this agreement at any time with 30 days written notice. We may suspend or terminate your access immediately for violation of these Terms or non-payment. Upon termination, you remain liable for any outstanding fees.

13. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Florida.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the Services after changes constitutes acceptance of the modified Terms.
